Terms & Conditions

1. Legal Entity and Scope

The website www.byus-4you.com and all services offered under the name By Us For You are operated by Catherine Hervy, a self-employed individual registered in Belgium under VAT number BE1023.792.042, Avenue Nouvelle 148, 1040 Brussels.

By Us For You is not subject to VAT in accordance with Article 44 §1 of the Belgian VAT Code. No VAT therefore applies to invoiced services.

2. Services Offered

By Us For You offers consulting and support services in the following areas:

• Retail consulting and audits: store health check, performance audit, layout optimisation, merchandising, competitive positioning.
• Training and recruitment: sales team training, recruitment support, new store opening package.
• Commercial follow-up: performance meetings, range and buying management, promotional calendar, customer feedback.
• Personal services: wardrobe revaluation, resale support, Vintage Tour, pop-up vide-dressing.

Each engagement is governed by a specific quote or contract defining the scope, deliverables, timeline, and fees. In the event of any conflict between these Terms & Conditions and a signed contract, the contract prevails.

3. Acceptance

Any order, signed quote or contract, online booking, or written confirmation constitutes full acceptance of these Terms & Conditions by the Client. The Client acknowledges having read, understood, and accepted these Terms prior to the start of any engagement.

4. Fees & Payment

• 4.1 All fees are defined in the applicable quote or contract and are expressed in euros, exclusive of VAT (not applicable).
• 4.2 Unless otherwise agreed, a 30% advance payment is required upon ordering. The engagement commences upon receipt of the advance.
• 4.3 Invoices are payable within 30 calendar days of the invoice date, by bank transfer.
• 4.4 In the event of late payment, interest shall accrue automatically in accordance with the Belgian Act of 2 August 2002 on combating late payment, plus a flat administrative fee of €40.
• 4.5 By Us For You reserves the right to suspend all ongoing services until full payment is received.

5. Scope & Changes

Unless otherwise specified in the quote, revisions are limited to 2 rounds per deliverable. Any request beyond the agreed scope will be subject to a written amendment and charged at the applicable rate.

6. Client Responsibilities

The Client agrees to:

• provide the necessary information, documents, and access within agreed timelines;
• designate an available and decision-making contact person;
• validate deliverables within a maximum of 10 business days of submission;
• respect the intellectual property of By Us For You.

Any delay or failure attributable to the Client shall not engage the liability of By Us For You.

7. Intellectual Property

• 7.1 Deliverables produced in the context of the engagement remain the intellectual property of By Us For You until full payment of all outstanding amounts. Upon full payment, a non-exclusive licence of use is granted to the Client for its professional activities.
• 7.2 The methodologies, tools, know-how, and content belonging to By Us For You remain its exclusive property.
• 7.3 Creative concepts and directions not selected by the Client remain the exclusive property of By Us For You.

8. Confidentiality

Both parties agree to treat as confidential all non-public information exchanged in the context of their collaboration. This obligation shall survive for 3 years after the end of the engagement.

9. Liability

• 9.1 By Us For You is bound by an obligation of means, not an obligation of result. No specific commercial outcome (sales increase, conversion rate, etc.) is guaranteed.
• 9.2 The total liability of By Us For You is limited to the fees actually paid by the Client in respect of the relevant engagement.
• 9.3 By Us For You shall not be liable for indirect damages (loss of revenue, loss of profit, reputational damage).

10. Termination

• 10.1 In the event of a material breach, the aggrieved party may terminate the contract after a written notice that remains unaddressed for 15 days.
• 10.2 In the event of termination at the Client's initiative without fault of By Us For You, all work performed remains fully payable, plus a termination indemnity of 20% of the remaining amount.
• 10.3 In the event of termination at the initiative of By Us For You without fault of the Client, advance payments are refunded pro rata for services not yet performed.

11. Force Majeure

By Us For You shall not be liable for any failure to perform resulting from a force majeure event within the meaning of the Belgian Civil Code.

12. Personal Data Protection

13. Applicable Law and Disputes

These Terms & Conditions are governed by Belgian law. In the event of a dispute, the parties shall first seek an amicable resolution within 30 days. Failing that, the courts of Brussels have exclusive jurisdiction.
